1. Acceptance of Terms

By downloading, installing, or using Owelet, you confirm that you have read, understood, and agree to be bound by these Terms of Use and our Privacy Policy. If you do not agree to these terms, do not download, install, or use the app.

These Terms of Use ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Owelet ("Owelet," "we," "us," or "our") governing your access to and use of the Owelet mobile application, website, and all related services (collectively, the "Service").

These Terms apply to all users of the Service, including users on the free tier and paid Pro subscribers. Your use of the Service constitutes ongoing acceptance of the most current version of these Terms.

If you are using Owelet on behalf of a business, you represent that you have the authority to bind that business to these Terms, and references to "you" include that business.

2. Eligibility

To use Owelet, you must:

  • Be at least 18 years of age or the age of majority in your jurisdiction, whichever is higher
  • Have the legal capacity to enter into a binding agreement
  • Not be prohibited from receiving or using the Service under applicable laws
  • Provide accurate and truthful information when creating your account

By using Owelet, you represent and warrant that you meet all of the above eligibility requirements. If you do not meet these requirements, you must not access or use the Service.

Owelet reserves the right to refuse service, suspend, or terminate accounts of users who do not meet these eligibility requirements or who provide false information.

3. Description of Service

Owelet is a mobile application designed to help small business owners and traders manage credit customers by:

  • Recording debts, credit sales, and payment histories
  • Generating and sharing payment receipts via WhatsApp, SMS, and other channels
  • Sending payment reminder notifications
  • Producing business summary reports
  • Backing up and syncing data to secure cloud storage

Owelet is offered in two tiers:

  • Free tier: Available to all users at no cost, with limitations including a maximum of 20 debt records. Features are subject to change.
  • Pro tier: Available by paid subscription, providing unlimited debt records, PDF receipt generation with business branding, full business reports, cloud backup, and other premium features as described in the app.

We reserve the right to modify, add, or remove features from either tier at our discretion. Where we remove a feature that Pro subscribers paid for, we will provide reasonable notice and may offer compensation at our discretion.

4. Your Account

Account Creation

To use Owelet, you must create an account by providing a valid email address and a password. You may also register using a supported third-party authentication provider where available. You agree to provide accurate, current, and complete information during registration and to keep your account information updated.

Account Security

You are solely responsible for:

  • Maintaining the confidentiality of your email address and password
  • All activity that occurs under your account, whether or not authorised by you
  • Immediately notifying us at info@owelet.ng if you suspect any unauthorised access to your account or any other breach of security

Owelet will not be liable for any loss or damage arising from your failure to protect your account credentials. We recommend using a strong, unique password and enabling the in-app PIN lock feature for additional security.

One Account Per User

Each user may maintain only one active Owelet account. Creating multiple accounts to circumvent free tier limitations, receive multiple trials, or for any other fraudulent purpose is prohibited and may result in all associated accounts being suspended or terminated.

Account Sharing

Your Owelet account is for your personal or business use only. You may not share your account credentials with other individuals. If you require multiple users to access the same debt records, please contact us at info@owelet.ng to discuss available options.

5. Acceptable Use

You agree to use Owelet only for its intended purpose — tracking legitimate business debts and credit transactions — and in compliance with all applicable laws and regulations in Nigeria and your jurisdiction.

Prohibited Conduct

You must not use Owelet to:

  • Record or facilitate transactions related to illegal activities, including illegal lending practices, loan sharking, usury, fraud, money laundering, or any activity prohibited under Nigerian law
  • Harass, threaten, intimidate, or extort any person, including using Owelet's reminder or receipt features in a threatening or abusive manner
  • Impersonate any person or entity, or falsely represent your affiliation with any person or entity
  • Enter false, misleading, or fabricated debt records with the intent to defraud or deceive any person
  • Attempt to gain unauthorised access to any part of the Service, other users' accounts, or our backend systems
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Owelet application
  • Use automated bots, scripts, or scrapers to access or extract data from the Service
  • Upload malware, viruses, or any other malicious code through the Service
  • Interfere with or disrupt the integrity or performance of the Service or the servers and networks connected to the Service
  • Circumvent, disable, or otherwise interfere with security-related features of the Service
  • Resell, sublicense, or otherwise commercially exploit the Service without our express written consent
  • Use the Service in any manner that violates the rights of any third party, including privacy rights, intellectual property rights, or contractual rights

Consequences of Violation

Violation of these acceptable use terms may result in immediate suspension or permanent termination of your account, without refund of any subscription fees paid. We reserve the right to report violations to appropriate law enforcement authorities where we believe criminal activity has occurred.

6. Subscription and Payment

Pro Subscription Plans

Owelet Pro is available on the following subscription plans:

  • Monthly Plan: ₦2,500 per month (launch pricing; subject to change, see Section 6.5)
  • Annual Plan: ₦25,000 per year (equivalent to paying for 10 months and receiving 12 months of access)

All prices are in Nigerian Naira (NGN) and are inclusive of any applicable taxes unless otherwise stated.

Payment Processing

All subscription payments are processed by Paystack, our third-party payment processor. By subscribing to Owelet Pro, you agree to Paystack's Terms of Service in addition to these Terms.

You authorise Paystack to charge your chosen payment method on a recurring basis according to your selected plan (monthly or annually) until you cancel your subscription.

Billing Cycle

Your subscription begins on the date you complete your first payment. For monthly plans, you will be billed every 30 days from your subscription start date. For annual plans, you will be billed every 365 days from your subscription start date. Billing will continue automatically until you cancel.

Failed Payments

If a payment fails, Paystack may attempt to retry the charge. If payment cannot be collected after reasonable attempts, your Pro access may be downgraded to the free tier until payment is successfully processed. You will be notified by email if a payment fails.

Price Changes

We reserve the right to change the subscription price at any time. If we change the price for existing subscribers, we will:

  • Give you at least 30 days advance notice by email
  • Display a prominent notice in the app
  • Allow you to cancel before the new price takes effect

If you do not cancel before the price change takes effect, your continued use of the Pro tier constitutes acceptance of the new price.

Currency and Taxes

Subscriptions are charged in Nigerian Naira (NGN). You are responsible for any applicable taxes on your subscription. Paystack will collect Value Added Tax (VAT) where required by Nigerian law.

7. Free Trial

Owelet offers a 14-day free trial of the Pro tier to new users who have not previously held a Pro subscription.

  • The free trial begins when you activate it in the app
  • No payment information is required to start a trial
  • You will not be charged during the trial period
  • If you choose to subscribe at the end of the trial, you will be asked to provide payment details at that time
  • If you do not subscribe before the trial ends, your account will automatically revert to the free tier
  • Each user is entitled to one free trial only. Creating additional accounts to access multiple trials is prohibited
  • Referral codes may also grant trial access as described in the app. Each referral code can be redeemed once per account

We reserve the right to modify or discontinue the free trial offer at any time without notice to prospective users. Existing trials in progress will be honoured.

8. Cancellation and Refunds

How to Cancel

You may cancel your Owelet Pro subscription at any time by contacting us at info@owelet.ng. Please include "Cancel Subscription" in the subject line and the email address associated with your account. We will process your cancellation and confirm by email within 2 business days.

Effect of Cancellation

When you cancel your subscription:

  • Your Pro access remains active until the end of your current billing period (the period you have already paid for)
  • You will not be charged for any subsequent billing periods
  • At the end of your billing period, your account automatically downgrades to the free tier
  • Your data, including all debt records and payment history, remains accessible on the free tier subject to the free tier's 20-debt limit display
  • All your data remains stored and backed up — you do not lose your records when downgrading

Refund Policy

We do not offer refunds for partial subscription periods. This means:

  • If you cancel a monthly subscription mid-month, you retain access until the end of that month but will not receive a refund for the remaining days
  • If you cancel an annual subscription, you retain access until the end of the annual period but will not receive a refund for the remaining months

Exceptions

We may, at our sole discretion, issue refunds in exceptional circumstances, such as:

  • A technical error on our part that prevented you from accessing the Service for a significant portion of your billing period
  • Duplicate charges due to a payment processing error

To request a refund under exceptional circumstances, contact info@owelet.ng within 7 days of the charge. Requests made after this period will not be considered.

9. Your Data

Ownership

You own your data. The debt records, customer information, payment histories, and all other data you enter into Owelet belong to you. Owelet does not claim ownership of any content you create or store using the Service.

License to Owelet

By using the Service, you grant Owelet a limited, non-exclusive, royalty-free licence to store, process, and transmit your data solely for the purpose of providing you with the Service, including syncing your data across your devices and generating reports and receipts on your behalf. This licence does not permit us to use your data for any other purpose.

Data Accuracy

You are solely responsible for the accuracy, completeness, and legality of all data you enter into Owelet. Owelet is a recording tool and does not verify the accuracy of debt records, customer information, or amounts entered by users. We are not responsible for any errors, inaccuracies, or disputes arising from data you have entered.

Data Export

You may export your data at any time using the built-in CSV and JSON export features in Settings → Export, Backup & Reports. We support your right to data portability and will not restrict your ability to export your own data.

Data After Account Deletion

When you request account deletion, we will permanently delete your data within 7 business days. Certain data may be retained for longer periods where required by law (such as subscription payment records). See our Privacy Policy for full details on data retention.

10. Receipts and Customer Communications

Owelet allows you to generate payment receipts and send them to your customers via WhatsApp, SMS, and other channels. You acknowledge and agree that:

  • You are solely responsible for the accuracy of information on receipts you generate and send
  • Owelet is not a party to any financial or commercial transaction between you and your customers
  • Receipts generated by Owelet are records of transactions you have entered, their legal validity depends on the accuracy of the underlying data
  • You must have the consent of your customers to contact them via WhatsApp, SMS, or other channels as required by applicable communications laws
  • You must not use Owelet's communication features to send spam, unsolicited messages, or content that is threatening, harassing, or abusive
  • We are not responsible for disputes between you and your customers arising from receipts or reminders sent through the app

Important: Receipts generated by Owelet may not constitute legally binding financial instruments for all purposes in all jurisdictions. For legal proceedings, loan applications, or official financial records, consult a qualified legal or financial professional.

11. Business Reports and Financial Information

Owelet Pro includes a Business Summary Report feature that generates PDF reports based on the data you have entered into the app. You acknowledge and agree that:

  • Business reports are generated solely from data you have entered. Their accuracy depends entirely on the accuracy of your records
  • Reports are provided for business planning and personal financial reference purposes only
  • Reports do not constitute professional financial, accounting, legal, or tax advice
  • Owelet makes no representation that reports will be accepted by any tax authority, financial institution, court, or other official body
  • For official tax filings, loan applications, legal proceedings, or any other formal financial or legal purpose, you should consult a qualified accountant, financial advisor, or legal professional
  • Owelet is not liable for any decisions you make based on information in your business reports

12. Intellectual Property

Owelet's Intellectual Property

The Owelet name, logo, app design, user interface, features, functionality, source code, and all content created by Owelet are owned by us and are protected by Nigerian and international intellectual property laws including copyright, trademark, and trade secret law.

You may not:

  • Copy, reproduce, modify, create derivative works of, or distribute any part of the Service without our prior written consent
  • Use the Owelet name, logo, or trademarks without our written permission
  • Remove or alter any proprietary notices or labels on the app
  • Use any Owelet branding in a way that suggests endorsement or affiliation without our consent

Feedback

If you provide us with feedback, suggestions, or ideas about the Service ("Feedback"), you grant us a royalty-free, perpetual, irrevocable, worldwide licence to use, implement, and incorporate that Feedback into the Service without any obligation to compensate you. You retain no intellectual property rights in Feedback you provide.

Your Content

You retain full ownership of all data and content you enter into Owelet. Nothing in these Terms transfers ownership of your debt records, customer data, or any other content you create to Owelet.

13. Service Availability and Changes

Availability

Owelet is designed to work both offline (using local device storage) and online (with cloud sync). We aim to maintain high availability of cloud services but do not guarantee uninterrupted access to the online features of the Service. Scheduled maintenance, unexpected outages, or circumstances beyond our control may temporarily affect cloud sync and online features.

The offline features of Owelet (recording debts, viewing records, generating receipts from local data) will continue to function during cloud outages.

Service Changes

We reserve the right to:

  • Modify, update, or improve any part of the Service at any time
  • Add new features to either the free or Pro tier
  • Move features between tiers with reasonable notice
  • Discontinue features that are no longer sustainable or used
  • Discontinue the Service entirely, with at least 60 days' notice to registered users

For significant changes that remove features available to active Pro subscribers, we will provide at least 30 days' notice and consider appropriate compensation at our discretion.

14. Third-Party Services

Owelet integrates with third-party services including Paystack (payments), Supabase (data storage), and WhatsApp (receipt sharing). Your use of these services is subject to their respective terms and privacy policies:

Owelet is not responsible for the availability, content, policies, or practices of any third-party services. We do not endorse and are not liable for any third-party content, products, or services.

If any third-party service we depend on becomes unavailable or changes its terms in a way that affects Owelet, we will endeavour to find alternative solutions and notify affected users.

15. Disclaimer of Warranties

Please read this section carefully. It limits Owelet's liability to you.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, OWELET EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
  • Warranties that the Service will meet your specific business requirements
  • Warranties that the Service will be uninterrupted, error-free, or completely secure
  • Warranties regarding the accuracy, reliability, or completeness of any information provided through the Service
  • Warranties that any errors in the Service will be corrected

Owelet does not warrant that the financial records, reports, or receipts generated by the app will be accepted for any specific legal, financial, or official purpose. Use of Owelet for business record-keeping is at your own risk and professional judgment.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OWELET AND ITS OWNERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of or inability to use the Service
  • Loss of revenue, profits, or business arising from your reliance on Owelet records or reports
  • Loss of data due to device failure, account deletion, or any other cause
  • Business losses arising from unpaid debts that you tracked or failed to track in Owelet
  • Damages arising from disputes between you and your customers regarding receipts or debt records
  • Any unauthorised access to your account or data despite our reasonable security measures
  • Actions or inactions of third-party services including Paystack, Supabase, or WhatsApp

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING FROM YOUR USE OF THE SERVICE, REGARDLESS OF THE FORM OF ACTION, SHALL NOT EXCEED THE TOTAL AMOUNT YOU HAVE PAID TO OWELET IN THE 12 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of liability for certain types of damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

17. Indemnification

You agree to indemnify, defend, and hold harmless Owelet and its owners, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to:

  • Your use of or access to the Service
  • Your violation of any of these Terms
  • Your violation of any third-party rights, including intellectual property rights or privacy rights
  • Your violation of any applicable law or regulation
  • Any content or data you submit, post, or transmit through the Service
  • Disputes between you and your customers or debtors arising from records, receipts, or communications generated using Owelet

This indemnification obligation will survive the termination of your account and these Terms.

18. Termination

Termination by You

You may terminate your Owelet account at any time by contacting us at info@owelet.ng with a request for account deletion. Upon termination, your access to the Service will cease and your data will be deleted in accordance with our Privacy Policy.

Termination by Owelet

We reserve the right to suspend or permanently terminate your account at our sole discretion, with or without notice, if:

  • You violate any provision of these Terms
  • You engage in conduct that we determine is harmful to other users, the Service, or Owelet
  • You provide false registration information
  • Your subscription payment repeatedly fails and cannot be resolved
  • We are required to do so by law or legal process
  • We determine that continued provision of the Service to you poses a risk to security or to other users

Where practical and not prohibited by law, we will attempt to provide advance notice before terminating your account for cause and give you an opportunity to correct the issue.

Effect of Termination

Upon termination of your account for any reason:

  • Your right to access and use the Service immediately ceases
  • Any outstanding subscription obligations remain due and payable
  • We will delete your data in accordance with our Privacy Policy
  • Provisions of these Terms that by their nature should survive termination (including sections on intellectual property, limitation of liability, and indemnification) will remain in effect

19. Governing Law

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law principles.

Specifically, these Terms are subject to:

  • The Nigerian Constitution 1999 (as amended)
  • The Cybercrimes (Prohibition, Prevention, etc.) Act 2015
  • The Nigeria Data Protection Regulation (NDPR) 2019
  • The Consumer Protection Council Act
  • Any other applicable Nigerian federal or state legislation

20. Dispute Resolution

Informal Resolution

Before initiating any formal dispute proceedings, we encourage you to contact us at info@owelet.ng to describe your concern. We will make a good faith effort to resolve disputes informally within 30 days of receiving your complaint.

Formal Proceedings

If informal resolution is unsuccessful, any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall be subject to the exclusive jurisdiction of the competent courts of the Federal Republic of Nigeria.

You and Owelet each consent to the personal jurisdiction of such courts and waive any objection to the exercise of jurisdiction over you or such courts.

Class Action Waiver

To the extent permitted by applicable law, you agree that any dispute resolution proceedings will be conducted on an individual basis only and not in a class, consolidated, or representative action.

21. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make changes:

  • We will update the "Last updated" date at the top of this page
  • For material changes (changes that significantly affect your rights or obligations), we will notify you by email at least 14 days before the new Terms take effect
  • We will also display a prominent notice in the Owelet app for material changes
  • For minor or clarifying changes, we will update the Terms without individual notification

Your continued use of Owelet after any changes to these Terms become effective constitutes your binding acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service and may request deletion of your account before the effective date.

We encourage you to review these Terms periodically. The most current version will always be available at owelet.ng/terms.
